TERMS AND CONDITIONS

These Terms & Conditions (“Agreement” or “Terms”) govern your access to and use of all products and services (“Services”) provided by Delulu Marketing, LLC, a Florida limited liability company located at 7901 4th St N Suite 300, St Petersburg, FL 33702 (“Delulu Marketing,” “Company,” “we,” “us,” or “our”).

By accessing or using any Delulu Marketing websites, systems, applications, or software (collectively, the “Platform”), you (“Client,” “User,” or “you”) agree to be bound by this Agreement. If you do not agree, do not use the Services.

1. DEFINITIONS

Account – A user profile registered with the Company.
Subscription – A paid recurring plan for software, CRM, SaaS, automation, or digital products.
Billing Cycle – The time period (monthly, quarterly, annually) that determines renewal and rebilling.
Rebilling – Automatic renewal and charging of the Client’s payment method for ongoing Services.
Confidential Information – All non-public information, data, trade secrets, or materials shared between the parties.
Content – All text, videos, images, files, and materials made available through the Platform.

2. ACCEPTANCE AND MODIFICATION OF TERMS

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to these Terms.
We may modify this Agreement at any time without notice by posting a revised version on our website. The latest version supersedes all previous versions. Your continued use of the Services constitutes acceptance of any revisions.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

You must be at least 18 years old to enter this Agreement.
You agree to provide accurate, current, and complete information when creating an Account and to maintain and promptly update that information.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
We reserve the right to suspend or terminate any Account that violates these Terms or applicable law.

4. USE OF SERVICES

You agree to use our Services solely for lawful business purposes.
You will not:

Use the Platform for fraudulent, abusive, or illegal activity.

Copy, modify, reverse engineer, or resell any part of the Platform without written consent.

Upload malicious code or interfere with network security.

Infringe any intellectual property rights belonging to Delulu Marketing or its licensors.

Use the Services to send spam, unsolicited messages, or harassing communications.

Violation of this section may result in immediate suspension or termination of access.

5. INTELLECTUAL PROPERTY

All software, trademarks, designs, content, source code, data, and other intellectual property displayed or distributed by Delulu Marketing are the sole property of Delulu Marketing, LLC or its licensors.
You are granted a non-exclusive, non-transferable, revocable license to access and use the Platform for your own business purposes during the term of your Subscription.
No title or ownership interest is transferred to you.
If you submit feedback, ideas, or suggestions, you grant Delulu Marketing a perpetual, royalty-free license to use them for any purpose.

6. PAYMENT TERMS, BILLING, AND REBILLING

6.1. Fees – All fees are due in advance and displayed at checkout or in your invoice. Prices are in U.S. dollars unless stated otherwise.

6.2. Automatic Rebilling – By purchasing a Subscription, you authorize Delulu Marketing or its payment processor to automatically charge your saved payment method at the start of each Billing Cycle until you cancel in accordance with these Terms.

6.3. Two-Cycle Rebilling Policy – You acknowledge and agree that Delulu Marketing may bill up to two consecutive cycles (“rebills”) after your initial purchase unless written cancellation is received per Section 7.

6.4. Failed Payments – If a payment fails, Delulu Marketing may suspend or terminate access to Services until the balance is paid. A reinstatement fee may apply.

6.5. Taxes – You are responsible for all sales, use, VAT, or similar taxes associated with your purchase.

6.6. No Chargebacks – By using the Services, you waive the right to file chargebacks for validly authorized charges. Any billing disputes must be reported to [email protected] within 10 days of the charge.

7. CANCELLATION, TERMINATION, AND REFUNDS

7.1. Client Cancellation – You may cancel your Subscription at any time by submitting written notice to [email protected] or by canceling directly through your Client Portal. Cancellations take effect at the end of your current Billing Cycle.

7.2. Company Termination – We may terminate or suspend Services immediately, with or without notice, for any breach of these Terms or misuse of the Platform.

7.3. Refund Policy – All payments made to Delulu Marketing, LLC are strictly non-refundable and non-transferable. Because our Services include immediate access to proprietary software systems, automations, and intellectual property, Delulu Marketing does not issue refunds under any circumstances, including but not limited to user dissatisfaction, technical issues, or unused access.

7.4. Chargebacks & Disputes – Initiating a chargeback or payment reversal for validly processed payments constitutes a breach of this Agreement and may result in legal action. Clients must contact [email protected] within 10 days of a disputed charge before initiating any external dispute. Unauthorized disputes will result in termination of access and recovery of all costs, including attorney’s fees.

7.5. Effect of Termination – Upon termination, your license to use the Platform immediately ceases. Delulu Marketing is not obligated to maintain or provide access to your data after termination.

7.6. Reactivation and Delinquency – Accounts suspended for nonpayment may be reinstated upon payment of all outstanding amounts plus a $50 administrative fee.

8. PRIVACY AND DATA PROTECTION

Delulu Marketing collects and processes information in accordance with our Privacy Policy below.
By using our Services, you consent to the collection, processing, storage, and use of your information as described.
We implement commercially reasonable security measures but cannot guarantee absolute security. You acknowledge that transmission of data over the internet is inherently risky.
